BRIEF BACKGROUND Investors and suppliers / contractors / subcontractors entered into agreements with Pinnacle Student Developments (Leeds) Limited (PSDL hereafter).

  1. PSDL have failed to deliver the leasehold agreements as undertaken in the Agreement Of Sale with the investors in Austin Hall.
  2. Harper Brooks (HB hereafter) and or Urban Student Living (USL hereafter) have rented out the units and is not paid it to the investors.
  3. PSDL in the full knowledge that the buyers agreement has not been given (It was not even requested), and they had not completed their undertaking to complete the works as a negative pledge in the charge, removed the charge  against the freehold of the property which Pinnacle Student Buyers (Leeds) Limited (PSBL hereafter) held as security for the investors.
  4.  The property was purchased by Tuscola (TL hereafter) and Grangeford Asset Management (GAM hereafter) with full knowledge it was unlawful as the buyers agreement has not been given. It was not even requested.
  5. There is no evidence that this went into the completion of PSDL undertakings with investors and suppliers.
  6. TL and GAM are named on the title deed, title absolute which make TL / GAM liable to observe and perform the covenants in our Agreements of Sale which are in the charges register.Title Absolute
  7. As the security of the investors has been unlawfully taken that is what I am going after so that investors become owner occupiers and manage the building themselves via AHILL.
  8. Is this alot? If Austin Hall has over 100? uncompleted buyers, if who have on average so far paid £35,000 each, that alone is nearly what the freehold was purchased for. Add on the interest payments and 5 years assured rent plus indirect harm with the stress and added expenses of not only investors but also of the people PSDL has not paid!

  2. This is the foundation and a fair method for claim resolution accepted in the UK legal system.
  3. If this matter cannot be privately settled I will be pursuing redress through the courts and as I only have claims experience that has always been settled out of court I shall be hiring a barrister trained and experienced with Equity and Trust Law to do the submissions for the high court (due to the value), and assist me (not represent) to present the case should it be contested by the Respondents – the best are expensive however it is unlikely it will go that far.
  4. At that point people can decide if they wish to continue. If you do you will be expected to contribute to the costs which will be estimated in advance to which you must give your consent if you wish to continue.

  4. Hi Marc. I have been closely following Joss for a number of months. I am very interested in the route that you are following . It has been mentioned that should we completing on our unit in Austin Hall (612) it would not prejudice the future actions that you are proposing. Could you please confirm your feelings on this and whether I have understood the situation properly.

    1. Sorry for delay in replying.
      Completion of the lease without completion of the site will affect a number of things.
      1 – The objective of my action is to get the site completed in accordance with the Agreements for Sale. i.e. up to that standard so as to maximise investor return.
      2 – To get the interest due.
      3 – To take the assured rent option in the Agreement for Sale.
      4 – Thereafter have a control mechanism for investors not to be overcharged for building maintenance.
      By completing before these are in place will affect income.

      I will initially submit the claim in my name so as not to commit others.
      If successful then all other investors can use my claim as precedence.

      Initially I felt numbers may be beneficial, however as all the Agreements for Sale are personal there is no need for numbers. That may be important if I cannot get a lien to force the sale of the freehold due to the value of the freehold vs my investment, however as the freehold was my security this should not be an issue.

      Essentially it is about getting leverage to force the proper completion of the site quickly and get the interest and assured rent backdated from the long stop date at minimal cost to myself and other investors.
      Hopefully it will include getting the leasehold on behalf of the investors which will give full control over long term returns by having effective control of expenses pertaining to the building management and services.
